We are pleased to announce that due to the activities of the PETERKA & PARTNERS Aviation Practice Group, two of our offices, Warsaw and Prague, have become members of the European Business Aviation Association EBAA. The EBAA’s main goal is to support, and build up business relations among, enterprises operating in the aviation sector in Europe. As the part of the PETERKA & PARTNERS Ukrainian desk's activities, our international tax team led by Lenka Paluchova prepared a handbook on the tax implications from the perspective of double tax treaties concluded between Ukraine and CEE countries and the local tax legislation.

On online loan services in Belarus

On 29 November 2021, the Decree of the President of the Republic of Belarus No. 196 "On online loan services and lease activities" will enter into force. It allows the establishment of online platforms where it will be possible to lend money to individuals or legal entities directly without an official financial institution participating as an intermediary in the deal, i.e., peer-to-peer (P2P) lending.
Such online platforms will operate under the strict control of the National Bank and other authorized bodies. The organizers of online platforms will control information about potential borrowers, check it, and transfer the information to the National Bank. Then the borrower's data will be published on an online platform of potential lenders.
Features of concluding a loan agreement through online services
1. Organizers of an online platform (operators) can be neither a borrower nor a lender under the contracts concluded; they act as intermediaries. Operators conclude contracts for the provision of services with clients of the online loan service. An essential term of such a contract is an indication that the client is aware of the high risks when providing funds through the online loan service, and accepts such risks;
2. A lender can be a resident or non-resident, but a borrower can only be a resident;
3. It is not allowed to conclude a loan agreement between residents in a foreign currency;
4. Only non-cash transactions, by transferring money to bank accounts, are allowed;
5. The amount of interest under a loan agreement may not exceed twice the amount of the loan provided under the agreement. Also, the National Bank will have the right to regulate the maximum interest on loans;
6. Any additional payments on the loan are prohibited; early repayment of loans is allowed.

Changes to Labour Code in Belarus
07/06/2021 Changes to Labour Code in Belarus
On 30 June 30 2021, the Law of the Republic of Belarus No. 114-Z enters into force, which amends the Labour Code. The new version of the Labour Code introduces new grounds for dismissal at the initiative of the employer. An employer has the right to terminate an employment contract with an employee in the following cases:
1. When an employee is under administrative arrest that prevents him/her from performing his/her job duties;
2. When an employee participates in an illegal strike (or calls on other employees to participate in an illegal strike), as well as for other forms of unexcused refusal to perform work duties by employees;
3. When an employee violates the procedure for collecting, organizing, storing, changing, using, depersonalizing, blocking, distributing, providing, and deleting personal data.
According to the new version of the Labour Code, it is not required to notify a labour union in advance of a dismissal on the abovementioned grounds, or to obtain its consent to dismissal.
In addition, a provision prohibiting political demands during strikes has been added to the Labour Code. Employees of industrial safety entities with hazardous production facilities will be completely prohibited from taking part in strikes.
The impossibility of obtaining an explanation from an employee about a committed disciplinary offence will not be an obstacle to the application of a disciplinary sanction. In other words, if the employer does not have the opportunity to receive an explanation from the employee, for example, because he/she is under administrative arrest, it can still apply a disciplinary sanction on him/her.

The Prague office of PETERKA & PARTNERS provided legal advisory to YDISTRI, SE, a Czech start-up developing and providing software for redistribution of dead stock based on smart algorithms, in connection with an investment round. The advisory involved drafting and negotiating of transaction documentation and managing the closing agenda.
